Adam concentrates his practice primarily in federal and state alcohol beverage licensing, trade practice and enforcement matters, hospitality law, real estate and related commercial matters. He represents all three tiers of the alcohol industry throughout the State of Colorado in securing and protecting their liquor licenses, navigating trade practice and land use issues, in the negotiation and drafting of commercial and real estate transactions, and in the purchase and sale of their businesses. Adam’s experience allows him to structure and report his client’s operations to meet the requirements of the Colorado Liquor Code and the Federal Alcohol and Tobacco Tax and Trade Bureau (TTB).

Adam also represents regulated marijuana and industrial hemp businesses and related vendors in various matters from formation, licensing, compliance, enforcement, acquisition and divestiture strategies.

Adam’s litigation practice is quite diverse and he has trial experience in federal and state courts, and in arbitration’s under the auspices of the Financial Industry Regulatory Authority (f/k/a NASD) and American Arbitration Association. He has also assisted public and private companies in preparation of offering materials, mergers and acquisitions, registration statements, and other federal and state regulatory filings.

Notable Cases and Representative Transactions

Lead counsel in hundreds of applications and hearings at federal, state and local licensing levels involving new to industry, transfer of ownership, change of location, modification of premises, and enforcement actions for all facets of the three tier “tied house” alcohol beverage licensing industry (manufacturer, wholesale/distributor and retail).

Lead counsel in obtaining defense verdict for individual accused of broker-dealer violations and securities fraud, involving tens of millions of dollars, in a national “investment contract” transaction.

Lead counsel and successful defense of an employee accused of misappropriating trades secrets from a national automobile warranty program.

Local counsel for publicly held telecommunications company in connection with securities, derivative and other suits arising from restatement of financial statements.

Assisted in obtaining a settlement in a complex negligence claim on behalf of a family in a National Association of Securities Dealers arbitration proceeding against a large brokerage firm for an amount in excess of $5 million.
